1. Sweepstakes open only to U.S. registered, licensed, incorporated, or commercial businesses that may, under applicable law, purchase from ESPEC North America, Inc.

2. Entrants certify that, by participating in this Sweepstakes, their relationship with ESPEC North America, Inc. is commercial in nature, and that they are engaging in a business-to-business, and not a consumer transaction, and thereby waive any rights they may have as a consumer under the laws of any applicable jurisdiction.

3. One (1) company or other legal business entity will be randomly selected to win the Grand Prize.

4. The Sweepstakes begins at 12:01 a.m. January 1, 2005 and ends at 11:59 p.m. August 31, 2005 and the winner will be determined by random drawing on/about September 19, 2005. The winner will be required to execute an Affidavit of Eligibility/liability publicity release, which must be signed, notarized and returned within 14 days of notification, or an alternate winner will be selected.

5. The winner’s account balance with ESPEC North America, Inc. for all business booked and all prior business must be current.

6. The winner will receive a Lab series benchtop chamber, model # LHU-113 (value $9,100).

7. ESPEC North America, Inc. reserves the right to substitute a prize of equal or greater value.

8. The winning business entity must designate a person 18 years of age or older, properly licensed and insured, to accept delivery of the prize.

9. All federal, state and local taxes, licenses fees, delivery fees and any expense outside of the actual prize are the responsibility of the winner and under no circumstances is ESPEC North America, Inc. responsible for such expenses.

10. The winner will be issued an IRS form 1099 reflecting the value of the prize.

11. The odds of winning are determined by the number of eligible entries received.

12. Failure to comply with these rules results in the forfeiture of all rights and prizes.

13. This sweepstakes is void where prohibited by law.

14. ESPEC North America, Inc., Inergy Marketing Group, and their subsidiaries and affiliates make no guarantees, warranties, or representations of any kind, expressed or implied with respect to the prize and shall not be liable for any loss, expense, damage, injury, or death incurred as a result of any defect in or failure of such items, in the use of such items whether by accident or winner negligence.

15. The prize is covered by manufacturer warranty only, and neither ESPEC North America, Inc. nor Inergy Marketing Group bears any responsibility. All prize warranty/guaranty claims are to be directed to the manufacturer following said manufacturer’s warranty/guaranty guidelines.

16.Actual delivery of the prize is the sole responsibility of the winner.

17. Employees of ESPEC North America, Inc., Inergy Marketing Group, or their affiliates, subsidiaries, agents, advertising or promotion agencies are not eligible to win, nor are members of such employees’ families or households.

18. The winner’s name will be made available after September 19, 2005 and may be learned by contacting ESPEC North America, Inc.
